These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”, “your”, or “User”), and WEPREP di Bracci Gianluigi, trading as Prep Investment Banking (“Prep Investment Banking”, “WEPREP”, “Company”, “we”, “us”, or “our”), governing your access to and use of:

By accessing or using the Site or the Services, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Site or the Services.
We may update these Terms from time to time by posting a revised version on the Site or on the relevant course platform. Your continued use of the Site or the Services after any update constitutes acceptance of the revised Terms.

3. Scope of Services
Prep Investment Banking provides educational and training services relating to investment banking, interview preparation, financial concepts, career orientation, technical preparation, coaching and related learning support.
The Services may include, without limitation:

recorded video lessons;

downloadable materials;
-
mock interviews;
-
coaching sessions;
-
email communications;
-
course-related support;

consultations and related educational content.
Some Services are provided directly through the Website, while course hosting, course access, account creation, course delivery and certain payment-related functions may be operated through Thinkific, which is a third-party platform provider. Thinkific’s current legal center states that it provides the platform under its own terms and policies, including privacy and data processing documentation.
4. Eligibility
The Site and the Services are intended only for individuals who are at least 18 years old and capable of entering into a legally binding agreement under applicable law.
By using the Site or the Services, you represent and warrant that:

8. Third-Party Platforms and Providers
Certain parts of the Services are delivered or supported through third-party service providers, including, without limitation:

Thinkific, which hosts and delivers certain courses and related account functionality;

Stripe and/or PayPal, which may process payments for purchases made through the course platform.
Your use of those third-party services may also be subject to the terms, privacy notices and operational rules of those third parties. Thinkific’s current documentation confirms that creators can require users to accept site-wide Terms and Privacy Policies when signing up to a course site.
We are not responsible for the independent acts, omissions, systems, interruptions or policies of third-party providers except to the extent required by applicable law.
9. Account Registration and Security
To access certain Services, you may be required to create an account, including through Thinkific.
You agree that:

you will provide accurate, current and complete registration information;

you will keep your login credentials confidential;

you will not share your account with any other person;
-
you are responsible for all activity occurring under your account;

you will notify us promptly of any unauthorized use of your account or other suspected security breach.
We reserve the right to suspend or terminate any account that contains false information, is used fraudulently, is shared in breach of these Terms, or is otherwise used in violation of applicable law or these Terms.
10. Purchases, Pricing and Payment
Certain Services are offered for a fee. By purchasing any paid Service, you agree to pay all fees indicated at the time of purchase.
Unless otherwise specified:

prices are displayed on the relevant sales page, checkout page or course page;

payments may be processed through Thinkific and/or through third-party payment processors such as Stripe or PayPal;

you authorize the relevant payment processor to charge the applicable amount;

you are responsible for ensuring that your payment details are valid and up to date.
We reserve the right to change pricing, course availability, offers and product descriptions at any time, provided that such changes will not affect completed purchases unless otherwise permitted by law.
11. Refunds
Any refund rights shall be governed by:

the refund policy expressly stated on the relevant sales page, checkout page or course page, if any; and

any mandatory rights available under applicable consumer law.
If no express refund policy is stated for a specific Service, purchases shall be considered final except where a refund is required under applicable law or expressly approved by us in writing.

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the purchased Services and content solely for your own personal, non-commercial educational use.
You may not:

record, download, capture or screen-record paid content except where explicitly permitted;

share access credentials or course links with others;

resell, sublicense, rent or commercially exploit any course or material;

All rights not expressly granted are reserved by us.
13. Intellectual Property
Unless otherwise stated, all content made available through the Site or the Services, including without limitation text, course materials, videos, lesson structures, branding, graphics, downloads, worksheets, slide decks, mock interview frameworks, educational resources, trademarks, trade names and logos, are owned by us or licensed to us and are protected by applicable intellectual property laws.
Nothing in these Terms transfers any ownership rights to you.
14. Acceptable Use
You agree not to use the Site or the Services:

in violation of any law or regulation;

for fraudulent, misleading, abusive or unlawful purposes;

to interfere with the security, integrity or operation of the Site or the Services;

to gain unauthorized access to any account, system or content;

16. Corporate Clients
Where Services are purchased or sponsored by a corporate client, employer, university or other organization, additional commercial terms may apply between us and that organization.
In such cases, the participating user acknowledges that certain information relating to enrolment, attendance, progress or participation may be reported to the relevant corporate client where this is necessary for the management, reporting or administration of the relevant business relationship, as described in the applicable privacy documentation.
17. Privacy and Data Protection

Where course access is delivered through Thinkific, or where payments are handled by Stripe or PayPal, personal data may also be processed by those providers in accordance with their own legal and privacy documentation. Thinkific states in its current legal and security materials that it offers a Privacy Policy, DPA and security overview for its platform, while Wix states that site owners must take the necessary steps to make their site GDPR compliant and can display terms and privacy documents on the site.
18. Availability of the Site and Services
We do not guarantee that the Site or the Services will always be available, uninterrupted, secure or error-free.
We may:

modify, suspend or discontinue any part of the Site or the Services;

update course content from time to time;
-
restrict access where necessary for maintenance, security, legal or commercial reasons.
To the extent permitted by law, we are not liable for downtime, platform interruptions, third-party outages or technical problems outside our reasonable control.
19. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY OR RESULTS.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

THE SITE OR THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME;

THE SITE, THE THINKIFIC PLATFORM OR ANY COURSE CONTENT WILL BE ERROR-FREE OR UNINTERRUPTED;

ANY DEFECTS WILL BE CORRECTED;

THE SITE OR THE SERVICES WILL MEET YOUR EXPECTATIONS OR ACHIEVE ANY PARTICULAR RESULT.
NOTHING IN THESE TERMS EXCLUDES ANY RIGHT THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE CONSUMER OR MANDATORY LAW.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE RELEVANT SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
21. Indemnity
You agree, to the extent permitted by law, to indemnify and hold harmless WEPREP di Bracci Gianluigi, its affiliates, collaborators, contractors and representatives from and against claims, losses, liabilities, damages, costs and expenses arising out of:

your violation of applicable law;

your infringement of the rights of a third party.
22. Suspension and Termination
We reserve the right to suspend, restrict or terminate your access to the Site or the Services, without prior notice where appropriate, if:

you share paid content or account access without permission;

Termination shall not affect any accrued rights or obligations, including payment obligations, intellectual property protections, disclaimers and liability limitations that are intended to survive termination.

We may revise these Terms and modify the Services from time to time. The latest version will be made available on the Site and/or the course platform. It is your responsibility to review the Terms periodically.
24. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Italy, without prejudice to any mandatory consumer protection rights that may apply under the law of your country of residence if you are an EU consumer.
Any dispute arising out of or in connection with these Terms, the Site or the Services shall be subject to the non-exclusive jurisdiction of the courts of Rome, Italy, except where mandatory law provides otherwise.
25. Severability
If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision shall be deemed severable and the remaining provisions shall remain in full force and effect.
26. Entire Agreement
These Terms, together with any applicable Privacy Policy, refund policy, sales page terms and any additional terms expressly referenced at the point of purchase, constitute the entire agreement between you and us regarding the Site and the Services.
